1. Acceptance of Terms
By accessing or using the services provided by Blue Boost LLC (“BlueBoost”, “we”, “our”, or “us”), or by clicking to accept these Terms where that option is presented, you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the Terms, you may not access or use our services.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” and “your” refer to that entity. You must be at least 18 years old and able to form a binding contract to use the services.
2. Description of Service
BlueBoost provides AI-generated work descriptions, estimate content, follow-ups, and analysis. Our services may evolve over time, and we reserve the right to change or discontinue any aspect of our services at any time.
2.1 Customer Data and Data Processing
To the extent you provide us with personal data about your own customers or other individuals (“Customer Data”) for processing through the services, you act as the controller (or business) and BlueBoost acts as your processor (or service provider) with respect to that Customer Data. You represent and warrant that you have provided all required notices and obtained all consents necessary for us to process Customer Data and to send communications (including text messages) to the individuals whose information you provide, and that you will maintain records of those consents. If required by applicable data protection law, the parties will enter into a separate Data Processing Addendum (“DPA”), which is incorporated into these Terms by reference upon execution.
3. User Accounts
3.1. You may need to create an account to use some of our services. You are responsible for maintaining the confidentiality of your account and password.
3.2. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4. User Conduct
You agree not to use our services:
- In any way that violates any applicable federal, state, local, or international law or regulation
- To transmit, or procure the sending of any “junk mail”, “chain letter,” “spam,” or any other similar solicitation
- To impersonate or attempt to impersonate BlueBoost, a BlueBoost employee, another user, or any other person or entity
- In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
5. Intellectual Property
5.1. Our services and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by BlueBoost, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5.2. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services, except as incidental to normal web browsing or as expressly permitted in writing by BlueBoost.
5.3. Feedback. If you provide us with any suggestions, ideas, feedback, or recommendations regarding the services (“Feedback”), you grant BlueBoost a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, and otherwise exploit the Feedback for any purpose, without any obligation or compensation to you. Feedback is provided voluntarily and is not your confidential information.
6. Disclaimer of Warranties
Our services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. To the maximum extent permitted by law, BlueBoost disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, and we do not guarantee any specific results from use of the services. Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you; in those jurisdictions, any implied warranties are limited to the minimum scope and duration permitted by law.
7. Limitation of Liability
7.1. To the maximum extent permitted by law, in no event will BlueBoost, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our services, including but not limited to any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, revenue, data, business opportunity, or goodwill.
7.2. Aggregate Liability Cap. To the maximum extent permitted by applicable law, the total aggregate liability of BlueBoost and its affiliates arising out of or in connection with these Terms or the services — regardless of the form of action and whether in contract, tort (including negligence), strict liability, or otherwise — shall not exceed the greater of (a) one hundred U.S. dollars ($100), or (b) the total amount of fees actually paid by you to BlueBoost in the twelve (12) months immediately preceding the event giving rise to the claim.
7.3. The limitations in this Section 7 apply even if BlueBoost has been advised of the possibility of such damages and even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
8. Indemnification
8.1. You agree to defend, indemnify, and hold harmless BlueBoost and its affiliates, licensors, service providers, employees, agents, officers, and directors from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of, or inability to use, the services; (c) your violation of any law or the rights of any third party; (d) any content or information you submit or transmit through the services; or (e) any text messages, calls, or other communications sent to recipients using telephone numbers or contact information you provided, uploaded, or directed us to contact, including any claim under the Telephone Consumer Protection Act (TCPA) or similar federal or state law arising from your failure to obtain or maintain the necessary consent from those recipients.
8.2. Carve-outs. Your indemnification obligations do not apply to the extent a claim arises from BlueBoost’s gross negligence, willful misconduct, or breach of these Terms.
8.3. Procedure. As a condition of indemnification, BlueBoost will: (a) promptly notify you in writing of any claim subject to indemnification (provided that failure to give prompt notice will not relieve you of your indemnification obligations except to the extent you are materially prejudiced); (b) grant you sole control of the defense and settlement of the claim, except that you may not settle any claim in a manner that imposes any obligation, payment, or admission of liability on BlueBoost without BlueBoost’s prior written consent; and (c) provide reasonable cooperation in the defense at your expense.
9. AI-Generated Content Disclaimer
9.1. AI Technology: BlueBoost utilizes artificial intelligence (AI) technology, including large language models (LLMs) from third-party providers such as Anthropic, OpenAI, and Amazon, to generate content and assist in providing our services.
9.2. Nature of AI-Generated Content: Users acknowledge and agree that AI-generated content, including but not limited to text, translations, code, and other outputs, is created through automated processes and may not always be accurate, complete, or suitable for every purpose.
9.3. No Guarantees: BlueBoost does not guarantee the accuracy, reliability, or appropriateness of AI-generated content for any particular use. Users are responsible for reviewing, verifying, and validating any AI-generated content before relying on or using it.
9.4. Potential Biases and Errors: AI systems may contain biases or produce errors. Users should be aware of this possibility and exercise appropriate caution and judgment when using AI-generated content.
9.5. Intellectual Property: The intellectual property rights for AI-generated content may be complex and uncertain. Users agree not to use AI-generated content in any way that may infringe on the rights of others or violate applicable laws.
9.6. No Liability: BlueBoost shall not be liable for any consequences, damages, or losses arising from the use of AI-generated content. Users agree to use such content at their own risk.
9.7. Feedback and Reporting: We encourage users to provide feedback on AI-generated content and report any concerns or issues to help improve our services.
9.8. Descriptions Only; No Pricing or Professional Advice. The services use AI to generate descriptions of work, conditions, and recommended scope based on the inputs provided to us. The services do not determine, set, calculate, or recommend pricing; all pricing, quotes, and final estimates are created and controlled by you (or by your CRM or other systems) and are your sole responsibility. AI-generated descriptions are informational only, are not a binding quote, and do not constitute professional, engineering, diagnostic, code-compliance, or safety advice. You are solely responsible for reviewing, verifying, and editing all AI-generated descriptions for accuracy and suitability before relying on them or presenting them to any customer or third party. BlueBoost is not a party to, and bears no responsibility for, any agreement, estimate, quote, pricing, or transaction between you and your customers.
10. API Usage
10.1. Access: If BlueBoost provides an API (Application Programming Interface), access to and use of the API is subject to these Terms and any additional API documentation provided by BlueBoost.
10.2. API Keys: You are responsible for keeping your API keys secure. Do not share your API keys with third parties or expose them in any client-side code.
10.3. Rate Limiting: BlueBoost reserves the right to set and enforce rate limits on API calls. Exceeding these limits may result in temporary or permanent suspension of your API access.
10.4. Modifications: BlueBoost may modify, update, or discontinue any aspect of the API at any time. We will strive to provide reasonable notice for significant changes.
10.5. Prohibited Uses: You may not use the API to: a) Develop a competing product or service b) Perform excessive automated searches or bulk downloads c) Circumvent any access controls or security measures d) Violate any laws or third-party rights
10.6. Monitoring: BlueBoost reserves the right to monitor API usage for security, performance, and compliance purposes.
11. General Misuse Policy
11.1. Prohibited Activities: In addition to the restrictions outlined in other sections of these Terms, you agree not to engage in any of the following activities:
a) Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service b) Using any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Service or to extract data c) Uploading invalid data, viruses, worms, or other software agents through the Service d) Impersonating another person or otherwise misrepresenting your affiliation with a person or entity e) Using the Service in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Service f) Collecting or storing any personally identifiable information from the Service from other users of the Service without their express permission g) Encouraging or enabling any other individual to do any of the foregoing
11.2. Compliance with Laws: You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and third-party rights.
11.3. Reporting Misuse: If you become aware of any violation of this Misuse Policy, please report it to us immediately.
11.4. Consequences of Misuse: BlueBoost reserves the right to investigate and take appropriate legal action against anyone who, in BlueBoost’s sole discretion, violates this policy, including without limitation, removing offending content, suspending or terminating the account of such violators, and reporting you to law enforcement authorities.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Subject to Section 16 (Arbitration), the state and federal courts located in Delaware shall have exclusive jurisdiction over any action not subject to arbitration, and you consent to personal jurisdiction in those courts.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time. For material changes, we will provide at least thirty (30) days’ notice prior to the changes taking effect, by posting the updated Terms on this page and updating the “Last Updated” date, and where reasonably possible, by sending notice to the email address associated with your account. Your continued use of the services after the effective date of any change constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the services.
14. Termination
14.1. Termination by You. You may stop using the services and close your account at any time by contacting us at info@blueboostai.com. Termination does not entitle you to a refund of any prepaid fees except as expressly stated in Section 15.
14.2. Termination by BlueBoost. We may suspend or terminate your access to the services, with or without notice, if: (a) you breach these Terms; (b) you fail to pay any fees when due; (c) your use of the services creates risk or potential legal exposure for us or other users; (d) we are required to do so by law; or (e) we discontinue the services. For terminations not based on your breach, we will provide reasonable notice and, where applicable, a pro rata refund of any prepaid, unused fees.
14.3. Effect of Termination. Upon termination: (a) your right to access and use the services ceases immediately; (b) we may delete your account data after a reasonable retention period as described in our Privacy Policy; and (c) all obligations that by their nature should survive termination will survive (see Section 17).
14.4. Data Export. Where reasonably practicable, we will make your account data available for export for a period of thirty (30) days following termination. After that period, we may delete the data, subject to our legal and regulatory retention obligations.
15. Payment Terms
15.1. Fees. Fees for the services are set forth in your subscription plan or order form. All fees are exclusive of taxes, which are addressed in Section 15.6.
15.2. Billing and Authorization. By providing a payment method, you authorize BlueBoost (and our payment processor) to charge that payment method for all applicable fees. You are responsible for keeping your payment information current.
15.3. Automatic Renewal. Subscription plans automatically renew at the end of each billing cycle (e.g., monthly or annually, as specified at signup) for successive periods of the same length, at the then-current rates, unless cancelled at least one (1) day prior to the renewal date. By subscribing, you authorize recurring charges to your payment method on each renewal date until you cancel. You will receive a renewal reminder by email prior to any annual renewal where required by applicable law.
15.4. Cancellation. You may cancel your subscription at any time by contacting us at info@blueboostai.com. Because subscriptions are established by contacting us directly rather than through online self-enrollment, cancellation is likewise handled by contacting us, and we will process your cancellation request promptly. Cancellation takes effect at the end of the then-current billing period. You will retain access to paid features through the end of that period.
15.5. Refund Policy. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We will, however, issue a pro rata refund of any prepaid, unused fees if: (a) we terminate your account other than for your breach of these Terms; or (b) we materially reduce the functionality of the services during a prepaid term. To request a refund, contact info@blueboostai.com.
15.6. Taxes. Fees do not include any sales, use, value-added, excise, or similar taxes (“Taxes”). You are responsible for paying all Taxes associated with your purchases, except for taxes based on BlueBoost’s net income. If we are legally required to collect Taxes, those Taxes will be added to your invoice.
15.7. Late Payment. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and we may suspend the services until payment is made.
15.8. Chargebacks. If you initiate a chargeback or payment dispute with your card issuer for a charge you authorized under these Terms, we may, at our discretion: (a) suspend or terminate your account; (b) require you to use an alternate payment method; (c) charge a reasonable administrative fee to recover costs associated with the dispute; and (d) pursue collection of any amounts owed. Please contact us first at info@blueboostai.com to attempt to resolve any billing dispute before initiating a chargeback.
15.9. Price Changes. We may change our fees at any time. Price changes for subscription plans will take effect at the start of your next renewal term, and we will provide at least thirty (30) days’ notice before the change takes effect.
16. Arbitration and Class Action Waiver
PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS.
16.1. Agreement to Arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms or the services (a “Dispute”) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or, for disputes involving consumers, its Consumer Arbitration Rules). Any in-person arbitration hearing will take place in the county or district where you reside, or at another mutually agreed location, and the arbitration may be conducted by telephone or video conference where permitted by AAA rules. Judgment on the award may be entered in any court of competent jurisdiction.
16.2. Class Action Waiver. YOU AND BLUE BOOST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
16.3. Exceptions. Either party may bring an action in small-claims court for disputes within that court’s jurisdiction, and either party may seek injunctive or other equitable relief in court for any actual or threatened infringement of its intellectual property rights or confidential information.
16.4. Opt-Out. You may opt out of this arbitration agreement by sending written notice to info@blueboostai.com within thirty (30) days of first accepting these Terms. The notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.
16.5. Severability of This Section. If the class action waiver in Section 16.2 is found unenforceable, then the entirety of this Section 16 shall be null and void, but the remainder of these Terms shall remain in effect.
16.6. Informal Resolution First. Before initiating arbitration, you agree to first contact us at info@blueboostai.com with a written description of the Dispute and the relief you seek. You and BlueBoost will attempt in good faith to resolve the Dispute informally for at least sixty (60) days from the date of that notice. If the Dispute is not resolved within that period, either party may commence arbitration. This requirement does not apply to claims that qualify for the exceptions in Section 16.3.
16.7. Arbitration Costs. Payment of all filing, administration, and arbitrator fees will be governed by the applicable AAA rules. For consumer Disputes, BlueBoost will pay these fees to the extent required by the AAA Consumer Arbitration Rules. Each party is otherwise responsible for its own attorneys’ fees and costs, except where applicable law or the arbitrator’s award provides otherwise.
16.8. Jury Trial Waiver. To the extent any Dispute is permitted to proceed in court rather than in arbitration, you and BlueBoost each knowingly and voluntarily waive any right to a trial by jury.
16.9. Coordinated and Batch Arbitration. If twenty-five (25) or more demands for arbitration of a substantially similar nature are filed against BlueBoost by or with the assistance of the same law firm or coordinated group of counsel, and to the extent the AAA’s supplementary rules for multiple-case filings do not already govern, the parties agree the demands will be administered in batches of up to fifty (50) claimants each. Each batch will proceed before a single arbitrator, with one set of filing and administrative fees per batch, and will be selected, heard, and resolved before the next batch begins. The parties will work in good faith with the AAA to implement this process, and any applicable statute of limitations will be tolled for claimants whose demands are assigned to a later batch. A court of competent jurisdiction, and not the arbitrator, will resolve any dispute over the interpretation or enforceability of this Section 16.9.
17. Survival
The following provisions survive any termination or expiration of these Terms: Section 5 (Intellectual Property), Section 6 (Disclaimer of Warranties), Section 7 (Limitation of Liability), Section 8 (Indemnification), Section 9 (AI-Generated Content Disclaimer), Section 12 (Governing Law and Jurisdiction), Section 14.3 (Effect of Termination), Section 15 (Payment Terms, to the extent of fees accrued prior to termination), Section 16 (Arbitration and Class Action Waiver), this Section 17 (Survival), and Section 18 (General Provisions).
18. General Provisions
18.1. Entire Agreement; Order of Precedence. These Terms, together with our Privacy Policy and any order form, subscription plan, or signed master services agreement you enter into with us, constitute the entire agreement between you and BlueBoost regarding the services and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral. If you have entered into a separate written agreement signed by both you and BlueBoost that governs your use of the services (a “Master Agreement”) and any term of that Master Agreement conflicts with these Terms, the Master Agreement will control with respect to the conflicting term; in all other respects these Terms remain in full force and supplement the Master Agreement.
18.2. Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed, and the remaining provisions shall remain in full force and effect.
18.3. No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of BlueBoost.
18.4. Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this provision is void. BlueBoost may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
18.5. Force Majeure. Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, third-party service outages, pandemics, or epidemics.
18.6. Relationship of the Parties. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and BlueBoost.
18.7. Notices. Any notice to BlueBoost must be sent to info@blueboostai.com, with a copy by mail to Blue Boost LLC, 611 South DuPont Highway, Suite 102, Dover, DE 19901. Any notice to you may be sent to the email address associated with your account or posted within the services, and will be deemed given when sent or posted.
18.8. No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
18.9. Export Compliance. You agree to comply with all applicable U.S. and foreign export control laws and regulations. You represent that you are not located in, and will not use the services in, any country subject to U.S. embargo, and that you are not on any U.S. government list of prohibited or restricted parties.
18.10. U.S. Government Users. If you are a U.S. government end user, the services are “commercial items” as defined in 48 C.F.R. § 2.101, licensed with only those rights as are granted to all other end users under these Terms.
18.11. Time Limitation on Claims. To the extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the services must be filed within one (1) year after the claim or cause of action arose; otherwise, it is permanently barred. This limitation does not apply where prohibited by applicable law.
